**Work Arrangement:** This role is categorized as onsite. this means the successful candidate to report to the GM office full time.
**The Role:**
In this role you will provide timely, innovative and commercially focused legal counsel to GM business operations in Egypt and Africa. The role will advise Management teams on significant matters and projects, day to day operations, including contractual, sales and marketing, distribution, customer protection, data privacy, etc. matters. You will be responsible for the appropriate identification, evaluation, consideration and balancing of risks and opportunities in decision-making. You will also drive the protection and advancement of company objectives in line with the Company's legal, ethical, safety, policy and risk considerations.
This is a regional role where you will report to the Lead Counsel, GM Africa and Middle East and be required to partner with multiple stakeholders.
**What You'll Do:**
+ The purpose of this role is to provide legal services, advice and expertise to GM operations in Egypt and Africa. The role will provide its customers with timely, commercially focused advice which complies with GM's legal, ethical, policy and risk management considerations.
+ Provide legal advice in various areas: employment, contractual relationships, corporate, commercial, sales and marketing, distribution, manufacturing.
+ Handling litigations, including with support of external counsel, where appropriate.
+ Assist with BOD and Shareholders meetings activities, acting as Board Secretary.
+ Provide legal expertise for all corporate secretarial and related regulatory compliance and reporting.
+ Develop and deliver training on key areas, e.g. anticorruption, contracts, export compliance, marketing/advertising.
+ Maintain and build sound understanding and knowledge of the client group's operations and businesses.
+ Provide advice in the development of legal processes and documents. Identify continuous improvement opportunities within the Legal function.
+ Forecast, track and control all legal spends.
+ Where appropriate, manage outside counsel.
**Additional Job Description**
**Your Skills & Abilities (** **Required Qualification** **)**
+ 7-15 years of experience in multi-national company or law firm (preferably).
+ Education: Bachelor of Laws
+ Experience in the automotive and/or manufacturing industry is preferrable.
+ Good grasp of industry best practice.
+ Detailed and comprehensive knowledge of Egyptian Laws.
+ Sound understanding of key relevant legal principles and current legislation in Egypt and the region.
+ Project management
+ Developing ability to readily understand, at high level, technology and issues associated with various aspects of GM operations including its design, development and manufacturing processes.

**Job Purpose**

Legal Counsel role is key role in ABC with responsibility for providing legal advice to various departments.

**Responsibilities**
- Negotiate, review and draft all types of agreements for the group companies & hold required internal & external meetings with stakeholders
- Ensuring the update of the templates with any new requirements to be added, according to company policy.
- Conduct legal researches and provide legal opinions to all ABC depts.
- Maintaining & updating a shared database for all contracts.
- Ensure that the legal function has the originals of all important, significant and strategic agreements
- Provide legal advice / opinion on transactions including appropriate risk allocations
- Ensure the company operation, daily practice and internal documents are in line with legal requirements and especially competition law.
- Follow up with the external lawyers the outstanding court cases.
- Manage and conduct IP registration and IP portfolio
- Manage the archiving projects and filling
- Follow-up on the litigation reports by the law firm and written pleadings
- Provide legal trainings to ABC business department
- Prepare needed reports on a monthly basis for litigation, IP and licenses
- Assist other lawyers of the function in the preparation of needed documentation
- Making and providing recommendations for several departments across the business, including, contracts, labor issues, data protection, anti-trust and consumer protection.
- Following up and handling outside counsel(s) on litigation; focus on brand protection, product liability, and labor matters.
- Other duties as assigned.

**Education & Experiences**

**Educational Background**:Bachelor’s degree in Law

**Years of Experience**: 2-3 years of relevant experience preferably in FMCGs. Previous experience in Legal Department of an international cooperation or international cooperation or multinational Law firm.

**In this role you will**:

- Provision of advice to senior leadership of the North Africa Region on legal aspects of a broad range of business, governance, and ethical issues which may arise. This includes identifying and highlighting business and legal risks and developing effective and practical strategies for the management of these.
- Effective liaison with BP Legal teams, including involvement of and liaison with BP Legal specialists as necessary.
- Planning, organizing, and leading the provision of legal support both internal and external to complex projects that have strategic value and significant financial impact.
- Working closely with and encouraging an atmosphere of partnership and collaboration with both the North Africa legal team located in Cairo and BP Legal international and specialist teams located outside the region.
- Handling relationships with law firms in Egypt and across areas of responsibility within Algeria and Libya as the case maybe.
**We have the following requirements**:

- At least 10 years’ experience as a lawyer in a commercial (ideally international) law firm or in the legal department of a reputable (ideally international) energy company.
- Experience of civil codes and implementing or supporting projects across different jurisdictions.
- Substantial transactional and negotiations experience in supporting the delivery of sophisticated upstream projects, and in establishing corporate and contractual joint ventures.
- Experience of having worked in or provided legal support to assets/business that are operated by others (“OBO”) and dealing with shareholder related matters.
- A consistent record of commercial awareness with high quality contribution to business strategy and delivery.
- Strong client counselling skills with demonstrable ability to assess and effectively communicate relevant legal and business risks.

**Qualifications:**
+ Bachelor of law/Juris Doctor (JD) degree from an accredited law school and active bar membership in at least one common or civil law jurisdiction.
+ Minimum of 15+ years post qualification experience in corporate law, with a focus on legal entity governance, compliance, and management.
+ Strong understanding of corporate structures, governance principles, and regulatory requirements internationally.
+ Excellent analytical, negotiation, and problem-solving skills.
